What is Constellis?
Who owns Constellis?
Constellis is privately held and owned by investment funds and private investors. It is not publicly traded and is not owned by any single public company. Following its 2020 restructuring and 2024 recapitalization, Constellis has operated with support from existing investors and a strengthened capital structure.
What companies have been acquired by or brought into Constellis?
Constellis has grown through the integration of several specialized organizations and legacy brands, including Triple Canopy, Academi, Olive Group, Centerra, AMK9, OMNIPLEX, GREGG, Edinburgh International, International Development Solutions, and The Development Initiative. These organizations expanded Constellis’ capabilities in security services, training, mission support, investigations, K-9 services, humanitarian mine action, critical infrastructure protection, and technology-enabled operations.
Is Constellis Blackwater?
No. Constellis is not Blackwater and does not operate under the Blackwater brand which is still in operation. Blackwater changed its name to Xe Services in 2009. Xe Services had multiple business areas, including aviation, training, security, and support services. Before the USTC Holdings transaction, Xe sold its aviation division to AAR Corp. in March 2010. USTC Holdings later acquired Xe Services’ training and support services, including the Moyock Training Center. Those services were renamed Academi in 2011, which became one part of the broader Constellis Holdings structure in 2014. Constellis today operates under its own corporate identity, governance, compliance framework, and brand.
Did USTC Holdings acquire the full Blackwater/Xe organization?
No. Xe Services had multiple business areas, and not all of them were acquired by USTC Holdings. The aviation division was sold separately to AAR Corp. before the USTC Holdings transaction. The USTC acquisition focused on the training and support services business, including the Moyock Training Center.
Other affiliates and entities were sold, separated, dissolved, or otherwise not carried forward into the core Constellis structure. In total, more than a dozen entities were excluded from the acquisition as well as all intellectual property (IP), trademarks, trade names, branding assets, and other proprietary rights associated with Blackwater. The IP was expressly excluded from the transaction and were not acquired by, transferred to, or retained within Constellis.
Does Erik Prince own Constellis?
No. Erik Prince has no ownership stake in Constellis. Prince, the founder of Blackwater, sold 100% of his equity interest in what was named Xe Services LLC. The company was then sold in multiple transactions to various companies, to include the training and support services that was later renamed Academi in 2011. Academi is one of many business units that make up Constellis comprehensive risk management portfolio.
Is Triple Canopy the same as Blackwater?
No. Triple Canopy and Blackwater were separate companies. Triple Canopy was founded separately in 2003 and developed its own government security and mission-support business. In 2014, Triple Canopy, Academi, and other companies were brought together under the Constellis Holdings structure.
Is Constellis or its subsidiaries a private military company?
Constellis is not a military organization and does not operate as a sovereign armed force. Constellis provides contracted security, risk management, training, and technology-enabled services for government and commercial customers. Some legacy companies in its history have been described in public discussion as operating in the private security or contractor space in conflict environments, but Constellis emphasizes lawful, contract-based services performed under customer-defined requirements, compliance frameworks, and oversight mechanisms.
